These Terms of Service ("Terms") govern your access to and use of the website webnovio.com (the "Site") and the services provided by Web Novio ("Web Novio", "we", "us", or "our"), a freelance digital agency offering AI automation, web design and development, HTML email systems, branding, technical SEO and infrastructure services. By accessing the Site or engaging us for services, you agree to be bound by these Terms.
1. Who We Are

2. Services
We provide custom digital engineering services, including but not limited to AI automation and chatbot development, web design and development, HTML email systems, branding and identity, technical SEO, and server and infrastructure work. The specific scope, deliverables, timeline and price for any engagement are agreed separately with each client — typically via a written proposal, quote, contract, or email confirmation — and that agreement governs the engagement alongside these Terms.
3. Quotes, Payment & Refunds
Unless otherwise agreed in writing, projects are quoted on a fixed-price or milestone basis, and an upfront deposit may be required before work begins. Final files, source code, and credentials are delivered upon receipt of full payment. Refunds, if any, are handled on a case-by-case basis as set out in the individual project agreement; work already completed in good faith is generally non-refundable.
4. Client Responsibilities
You agree to provide timely access to any accounts, content, credentials, brand assets or feedback reasonably required for us to deliver the agreed services, and to ensure you have the legal right to share any materials you provide to us. Delays in providing required materials may affect project timelines.
5. Intellectual Property
Upon full payment, ownership of the final agreed deliverables (e.g. website code, designs, automation workflows) transfers to the client, except for any third-party tools, libraries, frameworks, or pre-existing Web Novio assets and methodologies, which remain the property of their respective owners and are licensed, not sold, for use within the delivered project. We reserve the right to showcase completed, non-confidential work in our portfolio and marketing materials unless otherwise agreed in writing.
6. Third-Party Services
Our work frequently integrates third-party platforms (such as hosting providers, WordPress, GoHighLevel, n8n, Google APIs, AI model providers, and similar tools). We are not responsible for the availability, pricing changes, or policy changes of these third-party services, and your use of them is subject to their own terms.
7. Warranties & Limitation of Liability
We aim to deliver high-quality, reliable work, but services are provided "as is" without warranties of any kind, express or implied, beyond what is explicitly agreed in a project contract. To the maximum extent permitted by law, Web Novio shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising from your use of our services or the Site.
8. Confidentiality
We treat client business information, strategy documents, and credentials shared with us as confidential, and will not disclose them to third parties except as necessary to deliver the agreed services or as required by law.
9. Acceptable Use
You agree not to use the Site or our services for any unlawful purpose, to infringe on the rights of others, or to transmit harmful code. We reserve the right to decline or discontinue any engagement that we determine, in good faith, violates these Terms or applicable law.
10. Termination
Either party may terminate an ongoing engagement in accordance with the terms of the relevant project agreement. Upon termination, the client remains responsible for payment for work completed up to the termination date.
11. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site or our services after changes are posted constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by applicable local laws in the jurisdiction in which Web Novio operates, without regard to conflict-of-law principles. Any disputes will first be addressed through good-faith negotiation between the parties.
